Welcome to SpacDesk. By using the service, you agree to these terms. Please read them carefully.

1. The service

SpacDesk is a data and analytics platform covering Special Purpose Acquisition Companies. We ingest public SEC filings and present derived data, alerts, news, and a query API. We make no warranty of completeness or correctness — this is a tool to accelerate research, not a replacement for primary-source review.

2. Not investment advice

Nothing on SpacDesk constitutes investment advice, an offer to sell, or a solicitation to buy any security. SPAC trust values, implied YTMs, alerts, and editorial content are presented for informational purposes only. Always consult primary SEC filings and a licensed advisor before making investment decisions.

You are responsible for safeguarding your credentials and any API keys you generate. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that abuse the service, attempt to scrape at scale, or violate these terms.

Paid plans are billed monthly or annually via Stripe. You can cancel at any time through the customer portal at /account. Cancellations take effect at the end of the current billing period. Annual plans are not pro-rated beyond 14-day trial windows.

6. Rate limits and quotas

Each plan has documented per-minute and per-day request quotas. Exceeding quota returns HTTP 429. Sustained abuse may result in account suspension.

7. Intellectual property

SEC filings are public-domain data. SpacDesk's derived analytics, software, branding, and presentation are our intellectual property. You may use SpacDesk-derived data in internal research and external publications with attribution ("Source: SpacDesk").

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not warrant that data is complete, accurate, timely, or free from defects. Our liability is capped at the fees you paid in the prior 12 months.

9. Termination

Either party may terminate at any time. On termination, your access to the service ceases. We retain billing records for the period required by law.

10. Changes

We may update these terms. Material changes will be announced via email and the "Last updated" date above. Continued use after changes constitutes acceptance.

11. Governing law

These terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved in the state or federal courts of Delaware.
